Terms and Conditions

Please read these Terms and Conditions ("Terms") carefully before using the Grace Flow Connect platform ("Service") operated by Grace Flow Connect ("we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using the Service, you represent that you are authorized to enter into this agreement on behalf of your church or organization ("Organization") and that your use complies with these Terms. If you do not agree, do not use the Service.
2. Description of Service
Grace Flow Connect provides a cloud-based church engagement platform designed to help faith-based organizations maintain meaningful connections with their congregations. Core features include:
- First-Time Visitor Follow-Up: Automated welcome messaging for new visitors
- Prayer Request Management: Submission and routing of member prayer requests
- Weekly Engagement: Scheduled devotionals, updates, and congregation communications
- Member Check-Ins: Automated wellness check-ins with care-team flagging
3. Accounts and Access
3.1 Account Registration
You must provide accurate, complete, and current information when registering. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
3.2 Authorized Users
You may grant access to staff, volunteers, and designated personnel within your Organization. You are responsible for ensuring all users comply with these Terms. Accounts are not transferable.
3.3 Account Security
You must notify us immediately at [email protected] if you suspect unauthorized access to your account. We are not liable for losses resulting from unauthorized use of your credentials.
4. Use of the Service
4.1 Permitted Use
The Service is provided exclusively for lawful church and faith-based organizational use, including member engagement, pastoral care support, and congregational communication.
4.2 Prohibited Conduct
You may not use the Service to:
- Transmit spam, unsolicited communications, or messages to individuals who have opted out
- Collect or process sensitive personal data beyond what is necessary for church engagement
- Violate any applicable law, including anti-spam laws (CAN-SPAM Act, CASL) or data privacy regulations
- Reverse engineer, copy, or create derivative works from the Service
- Resell, sublicense, or otherwise make the Service available to third parties outside your Organization
- Upload or transmit malicious code, viruses, or harmful content
5. Member Data and Consent
You are responsible for obtaining all necessary consents from your congregation members before enrolling them in any communications through the Service. You represent and warrant that:
- Members have consented to receive messages via the channels you use (SMS, email, etc.)
- You maintain records of consent and honor opt-out requests promptly
- You will not use the Service to contact individuals who have withdrawn consent
Grace Flow Connect provides tools to manage opt-outs, but compliance with applicable consent and communication laws remains your responsibility.
6. Fees and Payment
6.1 Subscription Plans
Access to the Service is provided on a subscription basis. Current pricing is available at graceflowconnect.com. We reserve the right to change pricing upon thirty (30) days' notice.
6.2 Billing
Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as otherwise stated in your subscription agreement.
6.3 Non-Payment
Failure to pay may result in suspension or termination of access. Outstanding balances accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower.
7. Intellectual Property
7.1 Our Property
All software, content, trademarks, and materials comprising the Service are owned by Grace Flow Connect or its licensors. These Terms do not grant you any ownership rights in the Service.
7.2 Your Content
You retain ownership of all content you upload or create through the Service ("Your Content"). You grant us a limited, non-exclusive license to use Your Content solely to provide the Service to you. We do not use Your Content for any other purpose.
8. Confidentiality
Each party agrees to maintain the confidentiality of the other party's non-public information and not disclose it to third parties without prior written consent, except as required by law. This obligation survives termination of these Terms.
9. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Grace Flow Connect shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data, arising from your use of the Service, even if advised of the possibility of such damages. Our total aggregate liability shall not exceed the fees paid by you in the three (3) months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Grace Flow Connect and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any applicable law.
12. Term and Termination
These Terms remain in effect for the duration of your subscription. Either party may terminate upon notice if the other materially breaches these Terms and fails to cure within thirty (30) days of written notice. We may suspend or terminate your access immediately for violations of Section 4.2 or non-payment. Upon termination, your right to access the Service ends and we will provide a reasonable opportunity to export Your Content.
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes via email or in-app notice at least thirty (30) days before the effective date. Continued use of the Service after changes take effect constitutes acceptance.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Indiana, without regard to conflict of law principles. Any disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction. Class action waivers apply to the fullest extent permitted by law.
15. General Provisions
- Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and Grace Flow Connect regarding the Service.
- Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
- Waiver: Failure to enforce any provision does not constitute a waiver of future enforcement rights.
- Assignment: You may not assign these Terms without our written consent. We may assign without restriction.
